Presentation of the first legal investment documentation for start-ups in French

ABAN in partnership with the law firm Epena Law is pleased to give you access to the first copy of legal investment documentation for start-ups in French and compliant with OHADA law.

ABAN’s mandate is to develop start-up investments in Africa. In this context, it is essential to establish reliable and simple legal investment documentation to increase the level and volume of investment of investment clubs and “Angel investors”, provide a better understanding of the legal issues for investors and entrepreneurs in the region, and finally to ensure the legal security of transactions in Francophone Africa.

To do this, we have developed investment documentation templates to facilitate the negotiation process and ensure that ABAN member networks in 17 French-speaking African countries are able to execute all start-up investments – just like their peers from English or Arabic-speaking Africa.

The documentation thus produced in French, in accordance with OHADA law, is open source (available free of charge to the public) and includes templates of the following elements:

1. SAFE note

• With a valuation cap

• With a discount

• With a MFN

2. Convertible note

3. Shareholders agreement

4. Subscription agreement

5. Term sheet (equity investment)

6. Team sheet (convertible note)

With this in mind, we invite our member networks and partners, particularly in French-speaking Africa, to the official launch event for this documentation, on Thursday, September 23, 2021 from 3.30 p.m. to 5 p.m. WAT via Zoom.
